Welcome to ChinaGoGo POS. Please read these Terms of Service carefully before using our services. By registering, accessing, or using our services, you agree to be bound by these terms.

Service Description
1. Service Overview: ChinaGoGo POS provides digital solutions for Chinese restaurants in Thailand, including H5 QR code ordering systems, trilingual menu management, dual payment integration (WeChat Pay + PromptPay), merchant dashboard analytics, and other SaaS services.
2. Service Plans: We offer three subscription tiers: Free, Pro, and Business. Feature differences are detailed on our pricing page.
3. Service Availability: We commit to 99.5% service availability (calculated monthly), excluding: scheduled maintenance (48-hour notice), force majeure events, and third-party service failures.
4. Trial Period: Free plan offers the first month free; Pro and Business plans include a 14-day free trial. You can experience all features risk-free during the trial.
5. Service Changes: We reserve the right to improve or update services. Material feature changes will be notified 30 days in advance. We will not materially reduce service functionality without notice.
6. Third-Party Integrations: The service may integrate with WeChat Pay, PromptPay, LINE, and other third-party platforms. You agree to comply with the respective terms and policies of these third-party platforms.
Account Responsibilities
1. Registration: You must provide accurate and complete information during registration and update it promptly when changes occur.
2. Account Security: You are responsible for maintaining the security of your account password. Any loss or damage resulting from failure to safeguard your password is your responsibility.
3. One Account per Business: Each merchant should register one primary account. The Business plan supports sub-account management for multi-location scenarios.
4. Prohibited Conduct: You agree not to use our services for any illegal activity, including but not limited to: infringing intellectual property, distributing malware, engaging in fraud, or interfering with system operations.
5. Account Termination: We reserve the right to suspend or terminate your account if you violate these terms. Serious violations (e.g., using the system for illegal transactions) will result in immediate termination.
6. Account Transfer: You may not transfer your account or subscription without our written consent.
7. Notification Obligation: You must immediately notify us of any unauthorized account access or suspicious activity.
Payment Terms
1. Subscription Fees: Fees are charged monthly based on your selected plan. Current prices are limited-time promotional rates. We reserve the right to adjust prices with 30 days' notice.
2. Payment Methods: We accept PromptPay, bank transfer, and other payment methods for subscription fees. Corporate customers may request invoices.
3. Billing Cycle: Subscription fees are billed monthly. Automatic billing begins after the free month or trial period ends.
4. Auto-Renewal: Subscriptions automatically renew monthly unless you cancel. You can cancel auto-renewal anytime through the admin dashboard.
5. Billing Disputes: If you dispute a charge, contact us within 14 days of the billing date. Failure to dispute within this period constitutes acceptance of the charge.
6. Taxes: Listed prices exclude VAT. Please provide complete company information for Thai tax invoices.
7. Late Payment: Service will be suspended if payment is overdue by more than 7 days. Accounts overdue by more than 30 days will be terminated and data deleted.
Refund Policy
1. During Trial: Pro and Business plans can be cancelled at any time during the 14-day free trial at no cost.
2. Post-Payment Cancellation: If unsatisfied after subscribing, you may request a full refund within 7 days of the first payment.
3. Mid-Cycle Cancellation: If you cancel mid-cycle, the paid month's fee is non-refundable, but service continues until the end of the current billing period.
4. Refund Processing: Approved refunds will be processed within 14 business days via the original payment method.
5. Exceptions: Refunds are not available for:
- Account termination due to Terms of Service violation
- Requests made more than 7 days after first payment
- Custom development service fees

Limitations and Disclaimer
1. Service Disclaimer: Our services are provided "as is." Except as expressly required by law, we make no warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
2. Force Majeure: We are not liable for service interruption or data loss caused by force majeure events, including natural disasters, war, strikes, government actions, or internet failures.
3. Indirect Damages: Under no circumstances shall we be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services, including but not limited to loss of profits, goodwill, or business interruption.
4. Third-Party Services: We are not directly liable for issues arising from third-party services integrated through our platform (e.g., WeChat Pay, PromptPay, LINE), but will assist you in communicating with the relevant parties.
5. Maximum Liability: Our total liability to you shall not exceed the total service fees paid by you in the 12 months preceding the event giving rise to the claim.
6. Data Backup: While we provide data storage, we recommend you regularly back up important data independently. We are not liable for data loss caused by your operational errors.
7. Compliance Responsibility: You are responsible for ensuring your use of our services complies with applicable laws and regulations. We are not liable for your violations of local laws.
Dispute Resolution
1. Governing Law: These terms are governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles.
2. Negotiation First: In the event of a dispute, both parties shall first attempt to resolve it through friendly negotiation within 30 days.
3. Mediation: If negotiation fails, both parties agree to submit the dispute to mediation by the Thai Commercial Arbitration Board.
4. Arbitration: If mediation fails, the dispute shall be settled by arbitration in Bangkok, Thailand, in accordance with the Thai Arbitration Act B.E. 2545. The arbitration language shall be Chinese or English.
5. Jurisdiction: For disputes not subject to arbitration, both parties agree to the jurisdiction of the Southern Bangkok Civil Court.
6. Survival: This dispute resolution clause survives termination or expiration of the Terms of Service.
7. Class Action Waiver: You may only bring claims in your individual capacity, not as a plaintiff or class member in any class or representative action.
8. Severability: If any part of these terms is held invalid or unenforceable, the remaining portions shall remain in full force and effect.
